4. Intellectual Property Rights

4.1 Company Intellectual Property

4.2 Client Intellectual Property

5. Confidentiality

5.1 Confidential Information

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our relationship. This obligation shall survive the termination of these Terms.

5.2 Exceptions

Confidentiality obligations do not apply to information that:

• Is or becomes publicly available through no breach by the receiving party
• Was rightfully known by the receiving party prior to disclosure
• Is independently developed without use of confidential information
• Is required to be disclosed by law or court order

6. Payment Terms

6.1 Fees

Fees for Services will be specified in the applicable service agreement or proposal. All fees are quoted in US Dollars unless otherwise specified.

6.2 Payment Schedule

Payment terms will be outlined in each service agreement. Standard terms are net 30 days from invoice date unless otherwise agreed in writing.

6.3 Late Payments

Late payments may be subject to interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

7. Warranties and Disclaimers

7.1 Service Warranty

We warrant that our Services will be performed in a professional and workmanlike manner consistent with industry standards.

7.2 Disclaimer of Warranties

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DD SCIENCE AND TECHNOLOGY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless DD Science and Technology, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with:

• Your use or misuse of our Services
• Your violation of these Terms
• Your violation of any third-party rights
• Any content or materials you provide to us

10. Termination

10.1 Termination by Either Party

Either party may terminate a service agreement upon written notice as specified in the agreement. These Terms shall continue to apply to any services performed prior to termination.

10.2 Effect of Termination

Upon termination, all outstanding fees become immediately due and payable. Provisions relating to confidentiality, intellectual property, indemnification, and limitation of liability shall survive termination.

11. Export Control

You acknowledge that our Services and any related technical data may be subject to U.S. export control laws and regulations. You agree to comply with all applicable export and re-export control laws and regulations.

12. Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms which is due to acts of God, natural disasters, pandemic, government actions, war, terrorism, or other unforeseeable causes beyond the reasonable control of such party.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Kansas, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Sedgwick County, Kansas.

14. Entire Agreement

These Terms, together with any specific service agreements, constitute the entire agreement between you and DD Science and Technology regarding our Services and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral.

15. Amendments

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the updated Terms on our Website. Your continued use of our Services after such modifications constitutes acceptance of the updated Terms.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
